ATHENA MONEY TERMS OF USE

IMPORTANT: PLEASE READ THESE TERMS CAREFULLY. BY ACCESSING OR USING THE SERVICES, YOU AGREE TO BE BOUND BY THESE TERMS OF USE. THESE TERMS CONTAIN AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS.

1. Agreement to Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you and Athena Money LLC ("Athena," "we," "us," or "our") governing your access to and use of the Athena Money website (athenamoney.com), mobile application, and related services (collectively, the "Services").

By creating an account, accessing, or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

The Services are intended solely for users in the United States who are at least 18 years of age. By using the Services, you represent and warrant that:

  • You are at least 18 years old and of legal age to form a binding contract
  • You are a resident of the United States
  • You have the legal capacity and authority to enter into these Terms
  • Your use of the Services does not violate any applicable law or regulation

We do not knowingly collect or solicit personal information from anyone under 18 years of age. If we learn that we have collected personal information from a person under 18, we will delete that information promptly. If you believe we might have information from or about a person under 18, please contact us at privacy@athenamoney.com.

3. Account Registration and Security

To use certain features of the Services, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or security breach

You may not transfer your account to any other person without our prior written consent. We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe have been compromised.

4. Description of Services

Athena Money provides personal finance management tools to help you:

  • Connect bank accounts and automatically import transactions
  • Categorize and track spending against budgets
  • Analyze spending patterns and receive insights
  • Search and manage financial transactions

The Services are designed to assist you in organizing your personal financial information. We are not a financial institution, bank, credit union, investment advisor, broker, tax advisor, or financial planner. The Services do not provide financial, investment, tax, or legal advice.

5. Third-Party Financial Data Services

Our Services utilize Plaid Inc. ("Plaid") to connect to your financial institutions and retrieve your account information. By using this feature, you acknowledge and agree to Plaid's Terms of Service and Privacy Policy, available at plaid.com/legal.

Limited Power of Attorney: BY CONNECTING YOUR FINANCIAL ACCOUNTS THROUGH THE SERVICES, YOU GRANT ATHENA MONEY A LIMITED POWER OF ATTORNEY AND APPOINT ATHENA MONEY AS YOUR ATTORNEY-IN-FACT AND AGENT, WITH FULL POWER OF SUBSTITUTION AND RESUBSTITUTION, TO ACCESS THIRD-PARTY SITES, RETRIEVE YOUR ACCOUNT INFORMATION, AND USE SUCH INFORMATION SOLELY AS DESCRIBED IN THESE TERMS AND OUR PRIVACY POLICY.

You acknowledge that Athena Money is not responsible for the accuracy, availability, or security of information retrieved from third-party financial institutions. Account information is only as current as the time shown in the Services and may be delayed.

6. AI-Powered Features

The Services utilize artificial intelligence and machine learning technologies for transaction categorization, merchant name normalization, and other features. You acknowledge and agree that:

  • AI-generated categorizations and suggestions may contain errors or inaccuracies
  • You are responsible for reviewing and verifying all AI-generated content before relying on it
  • AI features should not be used as a substitute for professional financial advice
  • We may update, modify, or discontinue AI features at any time

We use third-party AI service providers (including Anthropic and OpenAI) to power certain features. Transaction data sent to these providers is anonymized and does not include personally identifiable information. See our Privacy Policy for details on how we handle your data.

7. Paid Services, Billing, and Subscription Terms

7.1 Free Trial

New users may be eligible for a 30-day free trial of the Services. Trial eligibility is limited to one trial per person. A valid payment method is required to begin your trial. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid subscription and your payment method will be charged.

7.2 Subscription Plans

We offer monthly and annual subscription plans. Current pricing is displayed on our website and within the application. All prices are in U.S. dollars and are exclusive of applicable taxes, which will be calculated and added at checkout.

7.3 Auto-Renewal

YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD (MONTHLY OR ANNUALLY) UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. For annual subscriptions, we will send you a reminder email approximately 30 days before your renewal date. You authorize us to charge your payment method on file for all recurring subscription fees.

7.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support@athenamoney.com. Cancellation will take effect at the end of your current billing period. You will retain access to paid features until the end of the period you have already paid for.

7.5 Refund Policy

All subscription fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused time, or features. In exceptional circumstances, refunds may be granted at our sole discretion.

7.6 Price Changes

We reserve the right to change our subscription fees at any time. If we change our fees, we will provide notice of the change on our website or by email at least 30 days before the change takes effect. Your continued use of the Services after the price change becomes effective constitutes your agreement to pay the updated fee.

7.7 Payment Processing

Payment processing is handled by Stripe, Inc. By providing payment information, you agree to Stripe's Services Agreement. We do not store your complete credit card number on our servers.

8. Prohibited Uses

You agree not to use the Services to:

  • Violate any applicable federal, state, local, or international law or regulation
  • Provide false, misleading, or fraudulent information
  • Infringe upon or violate the intellectual property rights of Athena Money or any third party
  • Attempt to gain unauthorized access to the Services, other accounts, or computer systems
  • Use any automated system, including robots, spiders, scrapers, or data mining tools, to access the Services
  • Copy, reproduce, or store any significant portion of the content from the Services
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Services
  • Use the Services to develop a competing product or service
  • Use the Services or any data obtained from the Services to train artificial intelligence or machine learning models
  • Transmit any viruses, malware, or other harmful code
  • Interfere with or disrupt the integrity or performance of the Services
  • Harass, threaten, or harm other users or any third party

9. Intellectual Property

The Services and all content, features, and functionality (including but not limited to text, graphics, logos, icons, images, software, and the arrangement thereof) are owned by Athena Money, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. This license does not include the right to: modify, copy, or create derivative works of the Services; sublicense, sell, or transfer access to the Services; or remove any copyright or proprietary notices.

"Athena Money" and related logos are trademarks of Athena Money LLC. You may not use our trademarks without our prior written permission.

10. User Content and Data

You retain ownership of any content, data, or information you submit to the Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Services.

We may create de-identified, aggregated data from user information for analytics and business purposes. Such aggregated data will not identify you personally and may be used without restriction.

11. Privacy

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the practices described in the Privacy Policy.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, ATHENA MONEY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, timely, secure, or error-free
  • The information provided through the Services will be accurate, reliable, or complete
  • Any errors or defects in the Services will be corrected
  • The Services will meet your specific requirements or expectations

Financial information displayed in the Services is provided for informational purposes only. We are not responsible for any decisions you make based on information obtained through the Services. You should consult qualified professionals for financial, tax, and legal advice.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ATHENA MONEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) ONE HUNDRED DOLLARS ($100.00); OR (B) THE TOTAL AMOUNT YOU HAVE PAID TO ATHENA MONEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless Athena Money and its officers, directors, employees, agents, partners, and licensors from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:

  • Your use of or access to the Services
  • Your violation of these Terms
  • Your violation of any third-party right, including any intellectual property or privacy right
  • Any claim that your User Content caused damage to a third party

15. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND HAVE A JURY HEAR YOUR CLAIMS.

15.1 Informal Resolution

Before initiating any arbitration or court proceeding, you agree to first contact us at legal@athenamoney.com and attempt to resolve the dispute informally for at least 60 days. If we are unable to resolve the dispute informally, you or we may proceed as described below.

15.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services that cannot be resolved informally shall be resolved by binding arbitration administered by JAMS in accordance with its Streamlined Arbitration Rules and Procedures. The arbitration shall take place in Essex County, New Jersey, unless you and we agree otherwise. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND ATHENA MONEY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and Athena Money agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

15.4 Jury Trial Waiver

YOU AND ATHENA MONEY HEREBY WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. You and Athena Money are instead electing to have claims and disputes resolved by arbitration.

15.5 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

15.6 Time Limitation

You must initiate any arbitration or legal proceeding within two (2) years of the date the claim arose, or be forever barred from bringing such claim.

16. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles. To the extent litigation is permitted under these Terms, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Essex County, New Jersey.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

You may terminate your account at any time by following the instructions in your account settings or by contacting support@athenamoney.com. Account termination does not entitle you to any refund of fees paid.

18. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the new Terms.

We encourage you to review these Terms periodically. The "Effective Date" at the top of this page indicates when these Terms were last revised.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Athena Money regarding the Services.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Notices

We may provide notices to you by email, posting on the Services, or other reasonable means. You may provide notices to us by mail at the address below or by email to legal@athenamoney.com.

19.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
